One important factor with linking to another site, is its relevance. Just having a link on a website that is marginally, if at all, related is of little value in most search engine's algorythms. Google has recently changed their algorhythm to penalize link farms (sites that will charge you to put up a link) as most humans find these pages of little value to what they are actually looking for.

When we exchange a link with you, we will ask you to link to our site not only on our name but on a small descriptive piece of text that actually relates to what we do and or sell. We will do the same for you, thus increasing your site's visibility in the eyes of search engines.
